Surface Oncology is looking for an experienced, collaborative paralegal to join its Legal Department. Reporting to the Senior Director, Corporate Counsel, the paralegal will be responsible for managing a wide variety of corporate and contracts matters, as well as support the development and maintenance of the company’s intellectual property portfolio. The paralegal will work directly with the Legal team’s internal partners and outside vendors. The paralegal will help optimize the Legal Department’s corporate governance and contract management processes as they continue to scale. This newly created role will offer significant independence, a broad scope of work and growth potential. The ideal candidate will enjoy multitasking and working in a fast-paced environment, have strong attention to detail, and be willing to learn new skills.


  • Maintain and improve contracts database and related trackers, processes and reports
  • Manage contract requests and draft template-based contracts, including non-disclosure agreements, clinical trial agreements, services agreements and statements of work  
  • Negotiate non-disclosure agreements and assist in review, negotiation and management of other contracts
  • Escalate contractual issues and legal questions to attorneys as needed
  • Organize and maintain corporate records
  • Assist in the preparation of draft minutes for Board and Committee meetings
  • Assist with implementation and management of Board of Directors Portal
  • Support development of company policies and compliance program
  • Provide support to Surface’s Intellectual Property team, including:
    • Assist with global formalities requirements
    • Maintain and manage patent and trademark portfolio files
  • Identify, design, and implement new processes and procedures to improve the group’s efficiency, productivity, and communication


  • Bachelor’s degree
  • 8+ years corporate paralegal experience at a law firm or in-house legal department at a public company, or a combination of both
  • Organized and detail-oriented, with excellent analytical skills
  • Must be able to manage numerous projects simultaneously under deadline pressure
  • Ability to interact independently and effectively with individuals at all organizational levels, including executives and senior management
  • A self-starter and collaborative team player
  • Solid proofreading skills
  • Experience with an electronic board portal, such as Diligent or BoardVantage, a plus
  • Experience working on public company matters, including SEC and NASDAQ filings, a plus
  • Comfortable handling sensitive issues confidentially and diplomatically
  • A willingness to expand into new substantive areas to support business needs
  • Proficiency in Word, Excel, PowerPoint and SharePoint
